Contract drafting is one of the job functions that take up a bulk of in-house counsel’s time. We believe there should be ways to save time in the contract drafting process. What if you could call up some in-context clause suggestions, drawing from your existing contracts?

Faster Contract Drafting Using your Own Existing Clauses

Last year we heard so much about what you love about Recital and what you'd like to see it become. 

There was one common frustration about the negotiation process that we kept hearing:

You spend too much time searching for your previously used clauses.

It's a common scenario:

You just received a redline with a new clause added by the other party. You've seen a similar clause in the past and you want to run a quick check to confirm whether you've previously used or agreed to it.  You prepare for a time-consuming search of your cloud storage and email archives to find it.

If only there were a faster way...

Now, there is!

You can now quickly and easily get suggestions for similar clauses in Recital based on the clauses you have previously used or agreed to, saving you the hassle of combing through your cloud storage or email archives. No more frustration over not being able to recall which contract contained a similar clause.

How to get in-context clause suggestions

  1. Launch a document comparison in Recital for the contract you are negotiating.
    Open a contract you received via email in one click using the Recital email add-on. You can also upload or ‘drag and drop’ documents on the Comparison page or select two documents to compare from a contract Record.

  2. On the comparison document, hover your cursor over any block of text in the document and click the magnifying glass icon .
    While you can select any text in the document, this feature works best with clauses.

  3. Recital will scan all of the documents contained in your Records* and return a list of similar clauses.
    Clauses that have been used the most will appear first in the list. Each clause will display a Similarity Score from 1-100. A higher rating indicates a clause which is the most similar to the selected clause.

The clause suggestion feature isn't simply a keyword search. It searches for clauses with text that conveys similar meaning, returning only the most relevant and accurate clauses.

*Recital can only scan documents it has access to. This includes documents stored in cloud storage or email connected to Recital and documents you subsequently uploaded to Recital.
